These Terms of Service (the Terms) govern access to and use of VAZOOL, the Revenue Execution Platform product of Taramsys Limited ("Taramsys", "we", "us", or "our"), including our websites, web applications, mobile applications, partner and admin portals, APIs, demos, and related services (collectively, the Services).
By creating an account, starting a trial, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms on behalf of yourself and, where applicable, the Organisation you represent. If you do not agree, do not use the Services.
Our Privacy Policy explains how we collect and process personal data. Together with any order form, plan selection, or separate written agreement we enter into with you (an Order), these documents form the agreement between you and Taramsys Limited.
1. Parties, definitions, and eligibility
Taramsys Limited is a company registered in England and Wales. Registered office: 20-22 Wenlock Road, London N1 7GU, United Kingdom. Where invoices are issued by an affiliate (for example Taramsys Private Limited for customers billed in India), that affiliate may collect fees on our behalf; these Terms still govern use of the Services unless a separate written agreement says otherwise.
In these Terms:
- Organisation means the business, team, or other legal entity that subscribes to or trials VAZOOL and for whose benefit End Users use the Services.
- End User means an individual authorised by an Organisation to access a workspace (including owners, administrators, sales users, managers, and insights viewers).
- Customer Content means data, files, notes, and other materials you or End Users submit to the Services (including companies, contacts, deals, activities, targets, hierarchy information, reports exports, and attachments).
- Partner means a person or entity enrolled in our partner, agency, or affiliate programme.
The Services are intended for business use. You represent that you are at least 16 (or the age of majority where higher), and that if you act for an Organisation you have authority to bind that Organisation to these Terms.
2. The Services
VAZOOL is a multi-tenant software-as-a-service platform designed to help sales organisations plan and execute revenue. Depending on your plan and configuration, features may include:
- Target Cascade™ — company and cascaded revenue/unit targets across hierarchy levels, regions, and locations
- Companies and contacts — CRM records, ownership, collaborators, and visibility within your Organisation
- Deals and pipelines — opportunity management, stages, outcomes, and related commercial fields
- Activities — calls, meetings, emails, notes, tasks, visits, and deal-linked activity history
- Dashboards and reports — attainment, pipeline, forecast, win/loss, leaderboards, and exports
- Organisation administration — users, roles, hierarchy, regions, locations, financial year, currency, and pipelines
- Mobile applications — field access to core CRM and activity workflows
- APIs and integrations — programmatic access and third-party connections you enable
- Support — tickets and related communications
- Partner tools — referral, attribution, and earnings features for enrolled Partners
We may modify, enhance, or discontinue features with reasonable commercial judgment, provided we do not materially reduce overall paid plan capability without notice or a comparable alternative. Features labelled beta, preview, or demo may change or be withdrawn without liability.
VAZOOL helps you plan and track sales execution. We do not guarantee that you will achieve any revenue target, win any deal, or obtain any particular business result.
3. Accounts, workspaces, and access
Each Organisation uses one or more workspaces. An Owner (typically the first registering user) and other administrators are responsible for:
- managing End User invitations, roles, and hierarchy
- configuring settings that affect data visibility and billing limits
- ensuring End Users comply with these Terms
- safeguarding credentials and promptly revoking access when people leave
You must provide accurate registration and billing information and keep it up to date. You are responsible for all activity under your Organisation's accounts. Notify us promptly at support@vazool.com if you suspect unauthorised access.
Insights viewers and similar limited roles (where offered) may have read-only or constrained access and may not count as billable seats; plan limits and feature gates still apply as published in your Order or in-product billing settings.
4. Licence grant and intellectual property
Subject to these Terms and timely payment of applicable fees, we grant your Organisation a limited, non-exclusive, non-transferable (except as permitted on an ownership transfer within the product), non-sublicensable right to access and use the Services during the subscription or trial period for your internal business purposes.
Taramsys and its licensors own all right, title, and interest in the Services, including software, designs, documentation, Target Cascade™ branding and methodology as embodied in the product, trademarks, and feedback you provide about the Services (which you grant us a royalty-free licence to use). No rights are granted except as expressly stated.
You may not: copy, modify, or create derivative works of the Services; reverse engineer except to the extent mandatory law permits; rent, lease, sell, or white-label the Services without our prior written consent; remove proprietary notices; or access the Services to build a competing product using non-public aspects of our offering.
5. Customer Content and data responsibilities
As between you and Taramsys, your Organisation retains ownership of Customer Content. You grant us a worldwide licence to host, process, transmit, display, and back up Customer Content solely to provide, secure, support, and improve the Services and as otherwise described in our Privacy Policy.
You represent and warrant that:
- you have all rights and lawful bases needed to submit Customer Content and to allow us to process it
- Customer Content does not infringe others' rights or violate applicable law
- you will not upload unlawful, harmful, or malicious content
For business contact and customer data you store in VAZOOL, your Organisation typically acts as controller and Taramsys as processor, under a separate data processing agreement where required. Account, billing, security, and platform operation data may be processed by Taramsys as controller as described in the Privacy Policy.
We may remove or disable Customer Content that we reasonably believe violates these Terms or law, and may suspend access to protect the Services or other customers.
6. Acceptable use
You and End Users must not:
- probe, scan, or breach another Organisation's workspace or our security controls
- interfere with or disrupt the Services, including denial-of-service or unreasonable automated load outside published API limits
- use the Services for spam, fraud, harassment, or unlawful tracking of individuals
- misrepresent identity or affiliation, including Partner self-referral or attribution abuse
- circumvent seat, location, plan, or trial limits
- use the Services in a way that would subject Taramsys to industry-specific regulated data obligations we have not agreed in writing to support (for example unrestricted processing of special-category health data at scale)
We may investigate suspected violations and cooperate with law enforcement where legally required.
7. Trials, demos, and sandboxes
We may offer a free trial (for example a time-limited Professional trial) or explore-demo sandboxes so you can evaluate VAZOOL. Trial features, duration, and conversion rules are described at signup or in your Order. Unless stated otherwise, trials do not require a payment method until you subscribe.
When a trial ends without an active paid subscription (or other agreed licence), we may lock the Organisation so that only designated roles can access billing, or suspend the workspace until you subscribe or export data within any grace period we publish.
Demo and sandbox environments may be reset, shared, or deleted. Do not store production secrets or personal data you would not accept losing in demos. Demo data is provided "as is" for evaluation only.
8. Subscriptions, fees, and taxes
Paid access is based on the plan you select (for example Starter, Professional, or Enterprise) and applicable limits such as users and locations. Feature availability may be equal across plans while commercial limits differ; your Order and in-product billing settings control.
Fees may be billed monthly or annually (or another interval stated at checkout). Subscriptions renew automatically for the same term unless you cancel or change plan before renewal through billing settings or by contacting support where self-serve cancel is unavailable.
Prices are exclusive of applicable taxes (VAT, GST, sales tax, and similar) unless shown otherwise. You are responsible for taxes assessed on your purchase, other than taxes based on our income. We may use payment processors such as Stripe or Razorpay; their terms apply to payment processing.
If payment fails or an account is past due, we may suspend or lock access after notice, and continue to charge for the committed term where permitted. Chargebacks without first contacting us may be treated as a material breach.
Perpetual or offline licences (prepaid or negotiated caps) are available only under a separate Order. When such a licence expires or is suspended for non-compliance, access may be treated similarly to an unpaid subscription until renewed or migrated to a SaaS plan.
Refunds are not owed for unused periods except where required by law or expressly stated in an Order.
9. Partners and affiliates
If you enrol as a Partner, additional partner programme rules, commission policies, and commercial schedules may apply and form part of these Terms for Partner activity. Commissions, discounts, and attribution are governed by the policy version frozen for a referred Organisation at the relevant time.
Partners must not self-refer, fabricate clicks or leads, or misrepresent VAZOOL. We may withhold, reverse, or claw back commissions for fraud, refunds, chargebacks, or policy breaches. Partner programme participation may be suspended or terminated for breach.
10. Support and communications
We provide commercially reasonable support via in-product tickets and email (for example support@vazool.com). Priority and response targets may vary by plan and are not a formal uptime SLA unless agreed in writing.
We may send operational notices (security, billing, service changes) to Owner and admin email addresses. Marketing messages are governed by the Privacy Policy and applicable consent rules.
11. Third-party services and APIs
The Services may interoperate with third-party products you choose to enable (payment gateways, email, analytics, enrichment, or other integrations). Those services are governed by their own terms. We are not responsible for third-party outages, data handling, or decisions you make based on third-party data.
API access must respect authentication, rate limits, and documentation. We may revoke API credentials that threaten platform stability or security.
12. Confidentiality
Each party may receive non-public information from the other (Confidential Information). The receiving party will use it only to perform under these Terms and will protect it with reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiver, was independently developed, or was rightfully received from another source.
Customer Content is your Confidential Information. The Services, non-public product roadmap, and security documentation are our Confidential Information. Either party may disclose Confidential Information if required by law, after giving notice where legally permitted.
13. Privacy and security
We implement technical and organisational measures designed to protect the Services as described in our Privacy Policy. No method of transmission or storage is completely secure. You are responsible for End User device security, password hygiene, and configuring Organisation access appropriately.
You must promptly notify us of any security incident involving your accounts or credentials that may affect the Services.
14. Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care. Except as expressly stated in these Terms or a written Order, the Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant uninterrupted or error-free operation, accuracy of forecasts or third-party enrichment, or that the Services will meet every requirement of your sales process.
15. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be limited under applicable law (including death or personal injury caused by negligence, or fraud).
Subject to the foregoing, neither party is liable for indirect, incidental, special, consequential, punitive, or lost profit, revenue, goodwill, or data damages, whether in contract, tort, or otherwise, even if advised of the possibility.
Subject to the foregoing, each party's total aggregate liability arising out of or related to these Terms in any twelve-month period is limited to the fees paid or payable by the Organisation to Taramsys for the Services in that period (or, for trials with no fees paid, one hundred pounds sterling (£100)).
16. Indemnity
You will defend and indemnify Taramsys against third-party claims, damages, and reasonable costs arising from Customer Content, your misuse of the Services, or your breach of these Terms, to the extent the claim is not caused by our breach.
If a third party claims the Services infringe intellectual property rights, we may (at our option) procure the right for you to continue use, modify the Services, or terminate the affected portion and refund prepaid unused fees for that portion.
17. Suspension and termination
You may stop using the Services and, where available, cancel renewal in billing settings. Cancellation typically ends access at the end of the paid term unless otherwise stated.
We may suspend or terminate access immediately if you materially breach these Terms, fail to pay, create security or legal risk, or if required by law. We will give notice where reasonably practicable.
On termination or expiry: licences end; we may delete Customer Content after any export or retention period described in product documentation or the Privacy Policy; sections that by nature should survive (including fees owed, IP, confidentiality, disclaimers, liability limits, and indemnity) continue to apply.
Organisation Owners remain responsible for exporting Customer Content before deletion. We are not obliged to retain Customer Content indefinitely after termination.
18. Changes to the Services and Terms
We may update these Terms from time to time. Material changes will be posted on our website with an updated version number and effective date, and we may notify Owners or administrators by email or in-product notice. Continued use after the effective date constitutes acceptance, except where applicable law requires affirmative consent or allows rejection with termination rights.
19. General
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our IP or Confidential Information.
These Terms, the Privacy Policy, and any Order are the entire agreement regarding the Services and supersede prior discussions on the same subject. If there is a conflict, an Order prevails over these Terms for the commercial terms it expressly covers; these Terms prevail over marketing materials.
If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except to a successor in connection with a merger or sale of substantially all assets that assumes these Terms; we may assign to an affiliate or successor. Notices to us should be sent to support@vazool.com (legal notices may also be sent by post to our registered office). Notices to you may be sent to Owner/admin emails on file.
Nothing in these Terms creates a partnership or employment relationship (except as expressly enrolled Partners under programme rules).
